Terms of service

These terms govern your access to and use of Establix (“Establix,” “we,” “us”) and the formation and document-preparation services we provide. By creating an account, submitting a consultation request, or purchasing a service, you agree to these terms.

1. What Establix is

Establix is a business formation and document-preparation service. We help you form a US company by preparing and filing the required documents, obtaining a federal tax ID (EIN), arranging a registered agent and virtual address, and providing guidance on banking and compliance. Establix is not a law firm or an accounting firm, and our services do not constitute legal or tax advice. See our disclaimer for detail.

2. Your account and accurate information

You are responsible for the accuracy of the information you provide, including identity documents required for verification (KYC) and the details used in your state filings. Filings made with incorrect or incomplete information may be rejected by the relevant authority, and re-filing may incur additional government fees, which are your responsibility.

3. Fees and government charges

Our service fees are described on our pricing page. Government charges — including state filing fees and annual franchise taxes — are set by the relevant authority, paid to that authority, and passed through to you at cost, itemized separately. Our fees do not include these government charges. Monthly compliance is billed on a recurring basis until cancelled. One-time services are billed once at purchase.

4. Refunds

Because formation work and government filings begin promptly and incur non-recoverable costs, service fees are generally non-refundable once work has started. Government fees already paid to an authority cannot be refunded by us. If you believe a charge is in error, contact us and we will review it in good faith.

5. Third parties and partners

Some services rely on third parties, including state authorities, the IRS, registered-agent providers, banks and payment processors, and our licensed CPA partner for tax filing. We are not responsible for the decisions, timelines, or requirements of these third parties, including a bank’s decision to approve or decline an account.

6. Acceptable use

You agree not to use Establix to form an entity for any unlawful purpose, to evade sanctions or applicable regulations, or to misrepresent your identity. We may decline or discontinue service where we reasonably believe these terms or applicable law have been violated.

7. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from your use of the service is limited to the service fees you paid to us for the service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

8. Changes to these terms

We may update these terms from time to time. When we do, we will revise the date above. Continued use of the service after a change constitutes acceptance of the updated terms.
